1. Acceptance of Terms
By accessing or using the Compass platform ("Service") provided by Launchpad, an OpenLoop Healthcare product ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service after any modification to these Terms constitutes your acceptance of the modified Terms.
2. Description of Service
Compass is a growth analytics and operations dashboard for direct-to-consumer (DTC) health brands. The Service provides tools to track customer acquisition costs, retention cohorts by channel, pharmacy SLA performance, creative attribution, and related growth metrics ("Platform Data").
The Service is offered in three tiers:
- Free — Limited analytics on de-identified, aggregated data. No Business Associate Agreement (BAA) required.
- Insights — Full analytics suite. Requires a signed BAA for PHI-adjacent data processing. Subject to monthly subscription fees.
- Enterprise — Custom terms, dedicated support, and contracted pricing.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately at support@joincompass.ai of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.
You may not create an account if you are under 18 years of age or if a prior account of yours has been terminated by the Company for cause.
4. Subscription & Payment
Insights tier subscriptions are billed monthly in advance. All fees are in USD and are non-refundable except as described in our Refund & Cancellation Policy.
We use Stripe to process payments. By subscribing, you authorize us to charge your payment method on a recurring basis. If a payment fails, we may suspend your account after a reasonable grace period and reasonable notice.
We reserve the right to change subscription fees upon 30 days' written notice. Your continued use of the Service after the effective date of the fee change constitutes acceptance of the new fees.
Enterprise tier pricing is set forth in a separate Order Form or Statement of Work.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations, including HIPAA and applicable state privacy laws;
- Upload or transmit patient-identifiable health data unless you are on the Insights tier with an executed BAA;
- Attempt to reverse-engineer, decompile, or disassemble any portion of the Service;
- Use automated scripts or bots to access the Service in a manner that places an unreasonable load on our infrastructure;
- Resell, sublicense, or otherwise commercialize access to the Service without our written consent;
- Interfere with or disrupt the integrity or performance of the Service or third-party data it contains.
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors. Our trademarks may not be used in connection with any product or service without the prior written consent of the Company.
You retain all rights to data you upload to the Service ("Customer Data"). By using the Service, you grant us a limited, non-exclusive license to process Customer Data solely to provide the Service.
7. User Data
We collect and process data as described in our Privacy Policy. For customers on the Insights tier, data processing is further governed by our Data Processing Addendum (DPA) and, where applicable, a Business Associate Agreement (BAA).
You represent and warrant that you have obtained all necessary consents and authorizations to share any data you provide to the Service, including any data about your customers or patients.
8. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before receipt from the other party; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
The analytics and insights provided by the Service are for informational purposes only and do not constitute medical, legal, financial, or clinical advice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
IN NO EVENT WILL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any data you submit to the Service.
12. Termination
You may terminate your account at any time by contacting support@joincompass.ai or through the account settings. Termination takes effect at the end of your current billing period; you will retain access until then.
We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas for resolution of any disputes.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or by posting a notice prominently within the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
If you disagree with the changes, your sole remedy is to terminate your account before the new Terms take effect.
